These Terms and Conditions ("Terms") govern your access to and use of the website twopass.xyz and the TwoPass approval workflow platform (collectively, the "Services") provided by TwoPass, Inc. ("TwoPass," "we," "us"). By accessing or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to bind your organization to use the Services on its behalf. The Services are intended for business use only.

2. Account registration

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately at support@twopass.xyz of any unauthorized access.

3. Subscription and payment

Paid subscriptions are billed according to the plan selected at purchase. Fees are stated exclusive of applicable taxes unless otherwise noted. We may change pricing with at least 30 days' notice before renewal. Failure to pay may result in suspension or termination of access.

4. Acceptable use

You agree not to:

  • Use the Services for unlawful purposes or in violation of applicable regulations
  • Upload malicious code, spam, or content that infringes third-party rights
  • Attempt to gain unauthorized access to systems, accounts, or data
  • Reverse engineer, decompile, or copy the Services except as permitted by law
  • Resell or sublicense the Services without written authorization
  • Use the Services to process data in prohibited categories (see Section 5)

5. Prohibited content and use cases

The Services may not be used for gambling, cryptocurrency trading platforms, adult content, unlicensed financial services, or any activity that violates applicable law. You are solely responsible for the legality of content and workflows you configure.

6. Your data

You retain ownership of data you submit through the Services. You grant TwoPass a limited license to host, process, and display your data solely to provide the Services. Our handling of personal data is described in our Privacy Policy.

7. Intellectual property

TwoPass and its licensors own all rights in the Services, including software, branding, and documentation. These Terms do not grant you any ownership rights in the Services.

8. Service availability

We strive to maintain reliable service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when practicable. Enterprise SLA terms, if applicable, are defined in your order form.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR BE ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWOPASS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TWOPASS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold TwoPass harmless from claims arising from your use of the Services, your data, or your violation of these Terms.

12. Termination

Either party may terminate per the subscription agreement. We may suspend or terminate access for material breach, non-payment, or prohibited use. Upon termination, your right to access the Services ceases. Data export is available for 30 days after termination upon request.

13. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Multnomah County, Oregon.

14. Changes

We may modify these Terms by posting updated terms on this page. Material changes to active subscriptions will be communicated via email or in-app notice at least 30 days before taking effect.
